TERMS & CONDITIONS This Terms and Conditions Agreement (“Agreement”) is a legally binding contract between you (“User,” “you,” or “your”), whether an individual who is at least 18 years of age or a legal entity capable of entering into binding agreements, and VyroHotels and Homes Pvt. Ltd. (“VyroHotels,” “we,” “us,” or “our”). This Agreement governs your access to and use of the VyroHotels platform, including our website ( www.vyrohotels.com), mobile application, and related services (collectively, the “Platform”), which enable users to search for, book, and manage hotel accommodations and other hospitality services. By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by this Agreement, along with all applicable policies and guidelines, including but not limited to our Privacy Policy, Cancellation and Refund Policy, and any additional terms that may be updated from time to time (collectively, the “Policies”). All such Policies are hereby incorporated by reference into this Agreement. In the event of any inconsistency between this Agreement and any incorporated Policies, the terms of this Agreement shall prevail. VyroHotels reserves the right to modify, update, or replace any part of this Agreement or the Policies at its sole discretion at any time. While VyroHotels may use commercially reasonable efforts to notify users of material changes, it is your responsibili ty to review this Agreement periodically. Your continued use of the Platform following the posting of any changes constitutes your acceptance of those changes. If you do not agree to this Agreement or any updates, you must discontinue use of the Platform immediately. VyroHotels reserves the right to suspend or terminate your access to the Platform at any time for non-compliance with this Agreement. These Terms of Use apply to all services provided by VyroHotels through its Platform and apply to all users accessing or using the Platform. 1. GENERAL This document is an electronic record in terms of the Information Technology Act, 2000 and the rules made thereunder, including any amendments relating to electronic records in various applicable statutes. This electronic record is generated by a computer system and does not require any physical or digital signatures. This document is published in accordance with the provisions of Rule 3(1) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, which require publishing the rules and regulations, privacy policy, and user agreem ent for access to or usage of the VyroHotels Platform. Your access to and use of the Platform, services, and tools provided by VyroHotels are governed by these Terms of Use, together with the applicable policies incorporated herein by reference. By accessing or using the Platform, you enter into a legally binding agreement with VyroHotels, and these Terms of Use, including all applicable Policies, constitute your binding obligations. For the purposes of these Terms of Use, wherever the context so requires, the terms “you” or “User” shall mean any natural or legal person who accesses or uses the Platform, including users who register an account by providing required information. The ter ms “we,” “us,” and “our” shall mean VyroHotels and Homes Pvt. Ltd. 2. ABOUT VYROHOTELS VyroHotels is a hospitality platform operated by VyroHotels and Homes Pvt. Ltd., which enables users to discover, select, and book hotel accommodations, bed and breakfast establishments (“B&Bs”), and other lodging options across various locations. VyroHotels aims to provide standardized and affordable hospitality services to modern travellers. To enhance user experience, properties listed on the Platform may follow certain quality standards, including but not limited to housekeeping, laundry, and fo od and beverage (“F&B”) services. Such standards may involve periodic training, audits, and operational guidelines. VyroHotels acts as an intermediary platform connecting users with third -party service providers, including hotels, B&Bs, and other accommodation partners. VyroHotels does not own, operate, or directly manage all listed properties unless explicitly stated. 3. ELIGIBILITY Use of the Platform is available only to persons who are competent to enter into legally binding contracts under the Indian Contract Act, 1872. Persons who are deemed “incompetent to contract” under the provisions of the Indian Contract Act, 1872, includin g minors, un - discharged insolvents, and persons of unsound mind, are not eligible to access or use the Platform. The Platform and its content are not intended for use by individuals under the age of 18 years. VyroHotels does not knowingly permit minors to register or use its services. VyroHotels reserves the right to suspend or terminate any account, membership, or access to the Platform if it becomes aware or reasonably suspects that a user is under the age of 18 years or otherwise not eligible to use the Platform. 4. USER RESPONSIBILITY & CONDUCT You agree to use the Platform in accordance with applicable laws and these Terms of Use. You are solely responsible for your use of the Platform, including any actions taken through your account. VyroHotels shall not be held liable for any losses, damages, or claims arising from your use or misuse of the Platform, except to the extent required under applicable law. You agree not to use the Platform for any unlawful, fraudulent, or harmful activities. 5. ELECTRONIC COMMUNICATIONS & USER SUBMISSIONS When you use the Platform or send emails, messages, or other data or information to VyroHotels, you acknowledge and agree that you are communicating with us through electronic records. You consent to receive communications from us electronically, including via email, notifications, or other modes of communication as deemed appropriate. Any communication, content, or material submitted by you to VyroHotels, including but not limited to feedback, suggestions, comments, or other information, shall be deemed non - confidential and non -proprietary. By submitting such content, you grant VyroHote ls a worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, publish, and distribute such material for any lawful purpose, without any obligation to compensate or acknowledge you. You further agree that such submissions do not violate any third -party rights, including intellectual property, privacy, or publicity rights. 6. INTELLECTUAL PROPERTY AND PLATFORM RIGHTS All intellectual property rights in and to the Platform, including but not limited to text, graphics, logos, images, software, and other content (“Content”), are owned by or licensed to VyroHotels and are protected under applicable intellectual property laws in India and internationally. You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform strictly in accordance with these Terms of Use. You shall not copy, reproduce, distribute, modify, transmit, display, perform, or otherwise exp loit any Content without prior written consent from VyroHotels. You acknowledge that your use of the Platform does not grant you any ownership rights in the Platform or its Content. Any permitted use must retain all copyright, trademark, and other proprietary notices. VyroHotels reserves the right to modify, suspend, or discontinue any part of the Platform at its sole discretion without prior notice. 7. ACCEPTABLE USE AND RESTRICTIONS You agree not to use the Platform for any unlawful or prohibited activities. In particular, you agree not to: • Violate any applicable laws or regulations • Infringe the rights of any third party, including intellectual property rights • Interfere with or disrupt the Platform or its security features • Impersonate any person or misrepresent your identity • Transmit false, misleading, or harmful information • Harass, abuse, or harm other users • Use automated systems (bots, scraping tools, data mining) without authorization • Collect or harvest personal data of other users 8. DISCLAIMER OF WARRANTIES The Platform and all content, information, and services provided through it are made available on an “as is” and “as available” basis, without any warranties of any kind, whether express or implied. VyroHotels does not warrant or guarantee the accuracy, completeness, reliability, or suitability of any information, content, or materials available on the Platform. Any reliance you place on such information is strictly at your own risk. VyroHotels acts solely as an intermediary platform facilitating bookings between users and third-party service providers, including hotels and accommodation partners. VyroHotels does not own, operate, or control such third -party properties and shall not be responsible for any deficiency in services, acts, errors, omissions, or disputes arising between you and such service providers. To the fullest extent permitted by applicable law, VyroHotels disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Your use of the Platform is entirely at your own risk. 9. LIMITATION OF LIABILITY To the fullest extent permitted by applicable law, VyroHotels shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, goodwill, data, or other intangible losses, arising out of or in connection with your access to or use of the Platform or its services. Notwithstanding anything to the contrary contained herein, if VyroHotels is found liable under applicable law, its total aggregate liability to you for any claims arising out of or relating to the use of the Platform or services shall not exceed the amount actually paid by you to VyroHotels for the specific booking or service giving rise to such claim. You agree that any claim or dispute must be reported to VyroHotels within 10 (ten) days from the date of occurrence, failing which such claim shall be deemed waived to the extent permitted by law. 10. PROHIBITED ACTIVITIES By using the Platform, you agree that you will not: • Violate any applicable laws or regulations • Infringe the rights of any person or entity, including intellectual property rights • Interfere with or disrupt the Platform or its security features • Impersonate any person or misrepresent your identity • Harass, abuse, or harm other users • Share false, misleading, or harmful information • Use any automated tools (such as bots or scraping tools) without authorization • Collect or misuse personal information of other users • Promote or engage in illegal or harmful activities • Offer or sell any goods or services that: o Violate applicable laws o You are not legally authorized to provide o Are considered inappropriate by VyroHotels VyroHotels reserves the right to take appropriate action, including suspension or termination of access, if you engage in any of the above activities. You agree not to collect or harvest any personally identifiable information, including user IDs, nor to use the communication systems provided for any commercial solicitation purposes. 12. TERMINATION VyroHotels reserves the right to suspend or terminate your account or access to the Platform at any time, with or without notice, if: • Your account remains inactive for an extended period • You violate these Terms of Use or act inconsistently with them • The Platform or any part of the services is discontinued or modified • Required by law enforcement authorities, government agencies, or legal requirements Upon termination, your access to the Platform will immediately cease, and VyroHotels may remove or delete your account and related data in accordance with applicable laws. VyroHotels also reserves the right to discontinue or modify the Platform or its services at any time without prior notice. VyroHotels shall not be liable to you or any third party for any suspension, termination, or discontinuation of the Platform. 13. INDEMNIFICATION You agree to indemnify, defend, and hold harmless VyroHotels, its directors, officers, employees, agents, affiliates, and partners from and against any and all claims, demands, actions, proceedings, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: • Your access to or use of the Platform • Your violation of these Terms of Use or any applicable laws, rules, or regulations • Any content, data, or information submitted, posted, or transmitted by you through the Platform • Your infringement or alleged infringement of any intellectual property rights or other rights of any third party • Any misuse of your account, including use by any third party accessing the Platform through your login credentials This indemnification obligation shall also apply to any claims brought by third parties, including but not limited to hotels, accommodation partners, service providers, or other users of the Platform. Without limiting the foregoing, you agree to indemnify VyroHotels against any claims alleging that: • Your use of the Platform infringes any copyright, trademark, patent, trade secret, or other proprietary rights of any third party; or • Your use of the Platform is defamatory, unlawful, or causes harm to any person or entity You agree to fully cooperate with VyroHotels in the defense of any such claim and shall not settle any matter without the prior written consent of VyroHotels. You further agree to bear all costs, damages, and expenses incurred by VyroHotels in connection with such claims. This indemnification obligation shall survive the termination or expiration of your access to the Platform and these Terms of Use. 14. GOVERNING LAW AND JURISDICTION The Platform is controlled and operated by VyroHotels from its facilities in India. VyroHotels makes no representation that the Platform is appropriate or available for use in locations outside India. Users who access or use the Platform from other jurisdi ctions do so at their own discretion and are responsible for compliance with applicable local laws. These Terms of Use and your relationship with VyroHotels shall be governed by and construed in accordance with the laws of India, without regard to any conflict of law principles. You agree that: • The Platform shall be deemed to be based solely in India; and • The Platform shall be considered a passive service that does not give rise to personal jurisdiction over VyroHotels in jurisdictions other than India These terms are governed by the laws of India. Any disputes will be subject to the exclusive jurisdiction of the courts in India. 15. MISCELLANEOUS • Waiver and Severability: Failure by VyroHotels to enforce any provision of these Terms shall not constitute a waiver of such provision. If any provision of these Terms is held to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, such provision shall be deemed severable, and the remaining provisions shall continue in full force and effect. • Entire Agreement: These Terms of Use, together with all applicable Policies and any other legal notices published by VyroHotels on the Platform, constitute the entire agreement between you and VyroHotels with respect to the use of the Platform and supersede all prior agreements, communications, or understandings, whether oral or written. Section headings are for convenience only and shall not affect interpretation. You may be subject to additional terms when using third-party services or content. • No Third-Party Rights: Nothing in these Terms shall be deemed to confer any rights or benefits on any third party, unless expressly stated otherwise. • Non-Transferability: Your account is personal to you and may not be transferred or assigned to any other person. All rights associated with your account shall terminate upon your death. • Limitation Period: You agree that any claim or cause of action arising out of or relating to the use of the Platform or these Terms must be filed within one (1) year from the date such claim arises, failing which such claim shall be permanently barred, to the extent permitted by law. 16. ENFORCEMENT AND LEGAL COMPLIANCE VyroHotels reserves the right to take any action it deems reasonably necessary to enforce these Terms of Use or to verify compliance, including cooperating with law enforcement authorities, regulatory bodies, or legal processes. VyroHotels may, without prior notice and without liability, access, preserve, or disclose your account information, registration data, or communications if it believes such action is necessary to: • Comply with applicable laws, regulations, or legal requests • Enforce these Terms of Use • Respond to claims that your use of the Platform violates the rights of any third party • Protect the rights, property, or safety of VyroHotels, its users, or the public 17. BOOKING TERMS AND HOTEL POLICIES The following terms apply to bookings made through the Platform: • Hotels may deny check -in to local residents, subject to their internal policies. VyroHotels shall not be responsible for such denials. • The primary guest must be at least 18 years old to check into the hotel. • Guests are required to present a valid government-issued photo identification at the time of check -in (such as Driving License, V oter ID, or Passport). PAN cards are not accepted as valid identification. • Your booking does not include additional personal expenses such as meals not included in your plan, laundry, room service, telephone usage, or other services. These must be paid directly to the hotel at the time of check-out. • Hotels reserve the right of admission. VyroHotels shall not be responsible for any denied check-in due to failure to meet hotel policies or identification requirements. 18. STANDARD AMENITIES (ILLUSTRATIVE ONLY) Properties listed on the Platform may offer certain standard amenities, which may include: • Complimentary Wi-Fi • Air-conditioned rooms • 24/7 front desk • En-suite bathrooms with basic toiletries • Daily housekeeping Such amenities are indicative and may vary by property. VyroHotels does not guarantee the availability of specific amenities at all locations.
